Define the committee’s core membership, standing seats, rotating seats, and observer roles, with named accountabilities and backups for each position.

Committee composition determines decision quality. The minimum viable membership for most mid-size organizations includes: Legal/Compliance, IT/Engineering, a business unit representative (rotating), Privacy/Data Governance, and the executive sponsor. Security (CISO function) should be standing, not rotating. AI risk is an attack surface, not a business function.

Avoid the common mistake of treating the committee as a technology committee. The majority of consequential AI governance decisions are legal, ethical, and reputational, not technical. Weight membership accordingly.

Draft, review, and formally approve the AI Governance Committee Charter: the single authoritative document defining the committee’s purpose, authority, scope, membership, meeting cadence, and review cycle.

The charter is not the same as an AI acceptable use policy or an AI governance framework document. It is specifically the committee’s operating constitution: what it decides, how it decides, and what happens when it cannot decide. A strong charter prevents scope creep, manages stakeholder expectations, and gives the committee legal standing within the organization’s governance hierarchy.

Establish the operational foundation: the AI use case intake process, risk tiering criteria, the Acceptable Use Policy, and the committee’s standard operating procedures for review cycles.

Stage 4 is where governance becomes operational. The charter says the committee exists and what it can decide. Stage 4 defines how AI use cases get to the committee in the first place: the intake form, triage criteria, routing rules, and Service Level Agreement (SLA) targets for review turnaround by risk tier.

The Acceptable Use Policy (AUP) is a deliverable of Stage 4, not a prerequisite. Many organizations make the mistake of spending six months on an AUP before standing up the committee, then discover the committee wants to revise it immediately. Build the committee first; the committee owns the AUP.

Stage 6 converts the committee from a project into an institution. Institutions have calendars, decision logs, and escalation paths. If your organization uses AI in any customer-facing system, in hiring decisions, in credit or benefit determinations, or in safety-critical operations, you need governance infrastructure regardless of size. For very small organizations (under 50 employees), a streamlined version of this framework with a two-person oversight function and quarterly reviews is appropriate. The 8 stages still apply; the scope and formality scale down.
Technically yes, but it is usually a poor choice. The most consequential AI governance decisions (whether to deploy a system, how to handle a bias finding, how to respond to a regulator inquiry) are legal, ethical, and reputational in nature. An IT chair will have a natural tendency to frame decisions as technical problems with technical solutions. The committee chair should typically come from Legal, Compliance, or the Risk function, with IT as a key contributing member rather than the decision authority.
An AI Ethics Board is typically an advisory body. It provides recommendations and perspective but holds no approval authority. An AI Governance Committee, as defined by this framework, has formal decision authority: it approves or denies use case submissions, issues exceptions to policy, and escalates to the board when warranted. Ethics boards are valuable inputs to the committee’s deliberation process. They are not a substitute for the committee itself.
