1. ACCEPTANCE OF TERMS

By accessing, browsing, or using the Tech Jacks Solutions website (“Site”), purchasing products, or using our services (“Services”), you (“User,” “Customer,” or “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our Site or Services.

These Terms constitute a legally binding agreement between you and Tech Jacks Solutions, LLC (“Company,” “we,” “us,” or “our”).

3.3 Product Updates

• Major Framework Updates: When significant changes occur to standards (like ISO 27001 revisions), we will notify customers of available updated templates
• Access to Updates: Customers who purchased templates within 24 months of a major update may request the updated version at no additional cost

• Transparency: We clearly identify the frameworks, standards, and regulations each template addresses
• Ethical Business Practices: We honor our commitments and treat all customers with respect and professionalism

3.5 Satisfaction Commitment

• Quality Promise: If any template contains significant errors or omissions that render it unsuitable for its intended purpose, contact us within 48 hours of download for resolution
• Clear Expectations: Product descriptions accurately reflect template content, scope, and applicable frameworks
• No Hidden Fees: All costs are clearly disclosed at purchase – no recurring charges or surprise fees

4. PRODUCT LICENSING AND RESTRICTIONS

4.1 License Grant

Upon payment, we grant you a non-exclusive, non-transferable, perpetual license to use our Digital Products for your internal business purposes only, subject to the restrictions outlined below.

4.2 Restrictions

You may NOT:

• Resell, redistribute, or transfer Digital Products to third parties
• Share login credentials or provide access to unauthorized users

4.3 Permitted Use

• Retain and reference purchased templates without time limitation

5. PAYMENT AND REFUND POLICY

5.1 Payment Terms Payment is required before accessing paid Digital Products. We use third-party payment processors (including Stripe) and their terms apply to all transactions.

5.2 Pricing Prices are subject to change without notice. Pricing in effect at the time of purchase applies to that transaction.

5.3 Refund Policy Due to the digital nature of our products and immediate access upon purchase:

Refunds are not provided for Digital Products after download, except in cases where the product materially differs from its description or contains significant errors that prevent intended use Technical issues: If you experience download or file corruption issues, contact us within 10 days for resolution Consulting Services: Refund policy will be specified in individual service agreements

5.4 Disputes Payment disputes must be raised within 30 days of purchase. We acknowledge all customer inquiries within 24 hours and provide substantive responses within the timeframes specified in Section 3.2. Contact support@techjacksolutions.com.

8. LIMITATION OF LIABILITY

8.2 Excluded Damages WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

8.3 User Responsibility You acknowledge that:

Proper implementation requires professional expertise Templates must be customized for your specific situation Compliance depends on proper implementation and evidence of adoption You assume all risks related to use of our products

9. INDEMNIFICATION

You agree to indemnify and hold harmless Tech Jacks Solutions, its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorney fees) arising from:

Your use or misuse of our products or services Your violation of these Terms Your violation of any law or regulation Your violation of third-party rights Any compliance failures or regulatory violations

Mutual Obligation: We agree to provide you with prompt notice of any claim and reasonable cooperation in defense, and you agree to do the same for us.

10. INTELLECTUAL PROPERTY

10.1 Ownership All Digital Products, including templates, frameworks, content, and methodologies, are proprietary to Tech Jacks Solutions and protected by copyright, trademark, and other intellectual property laws.

10.2 User-Generated Content Any feedback, suggestions, or ideas you provide may be used by us without compensation or attribution.

10.3 DMCA Compliance We respect intellectual property rights. To report copyright infringement, contact legal@techjacksolutions.com with required DMCA notice information.

11. USER ACCOUNTS AND CONDUCT

11.1 Account Security You are responsible for:

15. DISPUTE RESOLUTION

15.1 Governing Law These Terms are governed by the laws of Michigan, United States, without regard to conflict of law principles.

15.2 Jurisdiction Any disputes will be resolved in the state and federal courts located in Ingham County, Michigan.

15.3 Mutual Arbitration Agreement For disputes under $25,000, both parties may elect binding arbitration under American Arbitration Association Commercial Arbitration Rules. Arbitration will be conducted in Lansing, Michigan or virtually by mutual agreement.

Arbitration Procedures:

Single arbitrator selected by mutual agreement or AAA rules – Location: Lansing, Michigan or virtual by agreement – Costs: Each party bears their own costs unless arbitrator rules otherwise for frivolous claims – Appeals: Limited appeal rights under Federal Arbitration Act

Exceptions: Either party may seek injunctive relief in court for intellectual property violations.

16. GENERAL PROVISIONS

16.1 Entire Agreement These Terms, together with our Privacy Policy and any applicable Service Agreements, constitute the entire agreement between parties regarding the subject matter herein.

16.2 Severability If any provision is found unenforceable, the remainder of these Terms remains in effect. Unenforceable provisions will be modified to the minimum extent necessary to make them enforceable.

16.3 No Waiver Failure to enforce any provision does not waive our right to enforce it later or any other provision.

16.4 Assignment We may assign these Terms without notice in connection with a merger, acquisition, or sale of assets. You may not assign your rights without our written consent.

16.5 Force Majeure Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, war, terrorism, epidemics, or government actions.

16.6 Language These Terms are written in English. Any translations are for convenience only; the English version controls.

16.7 Electronic Communications You consent to receive communications electronically and agree that electronic communications satisfy legal notice requirements.
